MARCONI EXPRESS SPA
is the special-purpose entity established for the construction and the management of the rapid mass transport link between the Bologna International Airport and the city of Bologna. The society, that includes Consorzio Integra Società Cooperativa (75%) and TPER-Trasporto Passeggeri Emilia Romagna (25%), was established in 2010 as a dealer for the realization of the infrastructure in project financing outlawed by the Municipality of Bologna in 2008. The concession lasts until 2053. In Marconi Express SpA converge important civil and transportation engineering skills, as a dowry by the majority shareholder. Many other relevant skills regarding transport services are done by the minority shareholder.
The corporate governance of Marconi Express S.p.a. is based on the “traditional” model, characterised by the presence of a Board of Directors, a Board of Auditors and a Chairman of the Board of Directors.
The company has adopted an Ethical Code (in Italian) and an Organization, Management and Command Model ex 231 (in Italian) that complies with the requirements of Italian Legislative Decree 231/2001, which can be consulted at the references below, in order to exempt the Company from any administrative liability and is consistent with the reference legislative and regulatory context and with the principles already rooted in its governance culture.

TPER – TRASPORTO PASSEGGERI EMILIA-ROMAGNA
is the transport society established the first of February 2012 by the merger of ATC, a road transport company active in Bologna and Ferrara, and FER, regional rail society. TPER is the 6th Italian passenger operator for its revenue and, considering its numbers and service volumes in the public passenger transport sector, it is the biggest company in Emilia-Romagna.

THE PROJECT FINANCING
Marconi Express is a project company made up of Consorzio Integra and Tper. Marconi Express is holder of the Concession for the design, construction and management in project financing of the people mover, the infrastructure that links Guglielmo Marconi International Airport with Bologna Central Railway Station.
The accomplishment of the project mentioned above is based on private investors funded by the banking system in order to implement the project. Subsequently, investors manage the infrastructure for enough years in order to allow them to return the contracted loan to the banks and to remunerate the risk capital entered to capitalize the concessionaire society that creates and manages the work.
This financing model allows to accomplish public projects when funds in charge of the Public administration are not sufficient.
PROJECT COSTS
The whole infrastructure required a total investment of 125 million of euro subdivided as follows: 25 are in charge of the Marconi Express partners, 27 depend on regional public contribution, 13 are in charge of the Guglielmo Marconi International Airport, main beneficiary of the service, and 60 are financed by the banks.
